Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Biotech Market Readiness Audit tool (the "Service") provided by Auralis Biotech S.r.l. ("Auralis", "we", "us") at audit.auralisbiotech.it.

By using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. What the Service Is

The Service is an automated, AI-powered communication audit tool designed for biotech, life science, and diagnostics companies. Based on the content you submit, the Service generates a report covering four dimensions:

  • Scientific Accuracy
  • Regulatory Positioning Awareness
  • Communication Clarity
  • AI Discoverability

The report includes a numeric score, an executive summary, a detailed analysis, priority fixes, and stage-specific recommendations referring to Auralis services.

The Service is provided free of charge.

3. What the Service Is NOT — Important Disclaimer

The audit output is generated by an artificial intelligence model processing the content you submit. It is informational only and does not constitute:

  • Regulatory advice (including but not limited to IVDR, MDR, GMP, FDA, or any other regulatory framework)
  • Legal advice
  • Medical, clinical, or diagnostic advice
  • Investment, financial, or commercial advice
  • Scientific peer review or validation
  • A formal compliance assessment

The Service does not establish a professional or advisory relationship between you and Auralis Biotech.

You should not rely on the audit output as the sole basis for any business, regulatory, scientific, or commercial decision. For authoritative review, you should engage qualified professionals directly. Auralis can be engaged separately for advisory services through its Partnership Acceleration Program (APAP) or LaunchPAD modules, under separate written agreements.

4. No Warranty

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. Without limiting the foregoing, Auralis does not warrant that:

  • The audit output is accurate, complete, current, or free from errors
  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated content reflects expert human judgment
  • The Service will meet your specific needs or expectations

You acknowledge that AI-generated content may contain inaccuracies, omissions, or misinterpretations and should be reviewed critically before being acted upon.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you agree NOT to:

  • Submit content that infringes third-party intellectual property, privacy, or other rights
  • Submit confidential, proprietary, or trade-secret information of third parties without authorization
  • Submit personal data of other individuals (other than business contact information used in normal commercial communication)
  • Submit content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
  • Attempt to circumvent technical protections, security measures, or access controls of the Service
  • Use automated tools, scrapers, or bots to access the Service
  • Submit deliberately misleading content to manipulate the audit output
  • Reverse-engineer, decompile, or attempt to extract the source code, methodology, or scoring logic of the Service

Auralis reserves the right to block access to the Service, delete submissions, and take any other appropriate measure if these Terms are violated.

6. Content You Submit

You retain ownership of the content you submit through the audit form. By submitting content, you grant Auralis a non-exclusive, royalty-free license to process that content solely for the purpose of generating the audit report and delivering the Service to you, including processing by our sub-processors as described in our Privacy Policy.

Do not submit content that is confidential, regulated, or proprietary to third parties unless you have the right to share it. Auralis is not responsible for any unauthorized disclosure resulting from submission of such content by you.

7. Intellectual Property

The Service, including its design, structure, branding, scoring methodology, audit framework, software code, and all related intellectual property, is owned by Auralis Biotech S.r.l. and protected by applicable intellectual property laws.

The audit report generated for you may be used for your internal business purposes. Redistribution, resale, or use of the audit report or the Auralis brand for commercial purposes without prior written consent is prohibited.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Auralis Biotech, its directors, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your use of, or inability to use, the Service, including but not limited to:

  • Losses resulting from reliance on the audit output
  • Regulatory, legal, financial, or commercial decisions based on the Service
  • Loss of profits, revenue, business opportunities, or data
  • Errors, inaccuracies, or omissions in AI-generated content

Where liability cannot be excluded under applicable law, Auralis's total aggregate liability shall be limited to the amount you paid for the Service in the 12 months preceding the event giving rise to liability. Since the Service is provided free of charge, this amount is EUR zero (€0).

Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded under mandatory applicable law.

9. Third-Party Links and Services

The Service may reference or link to third-party websites, tools, or services. Auralis is not responsible for the content, accuracy, availability, or practices of such third parties.

10. Suspension and Termination

Auralis may, at its sole discretion and without prior notice, suspend or terminate your access to the Service for any reason, including but not limited to violation of these Terms, suspected abuse, or operational requirements.

You may stop using the Service at any time. Requests to delete your data are handled as described in the Privacy Policy.

11. Changes to These Terms

Auralis may update these Terms from time to time. The "Last updated" date indicates when the most recent changes were made. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy, without regard to its conflict of laws provisions.

Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Court of Macerata (Tribunale di Macerata), Italy, except where mandatory consumer protection law provides otherwise.

If you use the Service as a consumer (i.e., outside your trade, business, or profession), mandatory provisions of consumer law in your country of residence remain unaffected, and you may benefit from the jurisdiction of the courts of your habitual residence.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
